Film profits will be paid to soldier and youth charities
Below is the charitable distribution structure of the Foundation. But first we must make this film.
Exclusive Benefit Period
During the Exclusive Benefit Period, the Foundation will make distributions only to Soldier Charities and Youth Charities.
The Exclusive Benefit Period ends on the fifth anniversary of the completion of the film Aegis for Dreams.
Special Rules During Exclusive Benefit Period
The Exclusive Benefit Period will be a very active period, during which the Foundation plans to:
Raise charitable funds to produce the film;
Enter into a production agreement with a qualified producer;
produce and exhibit the film Aegis for Dreams;
thereafter distribute the film to American high schools; and
distribute net profits from the film to Soldier Charities and Youth Charities.
Soldier and Youth Charities
During the Exclusive Benefit Period, any distributions made by the Foundation shall be distributed to Soldier Charities and Youth Charities. Soldier Charities must receive at least 80% of the distributions .
“Soldier Charities”, defined as an exempt organization “whose primary purpose is to support the general well-being and comfort of current and former members of the United States Armed Services and their families, with preference to charitable organizations supporting those who have suffered physical and emotional injury.”
Independent Charitable Distribution Committee
During the Exclusive Benefit Period, all distributions are to be directed by a three-person Charitable Distribution Committee, chaired by the longesttenured US Secretary of Defense under age 80 on January 1, 2018, or his delegate. The two other members of the Committee are to be selected by the Chairperson.
The Foundation established this Committee to create independence in the distribution of Foundation funds and to ensure the appropriate expertise in how to distribute funds to Soldier Charities in the most impactful way.
Large Distribution at End of Period
At the end of Exclusive Benefit Period, the Charitable Distribution Committee must distribute to Soldier Charities and Youth Charities between 80% and 85% of its investment assets. The remaining assets will be used to fund the Foundation’s ongoing charitable activities.
Distributions After Exclusive Benefit Period
At the end of Exclusive Benefit Period, the Charitable Distribution Committee will be disbanded and the Foundation may make distributions to any qualified charitable organization.
